TERMS OF USE

The following terms and conditions served as the agreement between you and Ascension Innovation Sdn. Bhd. (“AISB”, “us”, “we”, “our”), which our products, systems and services (“Service”) are made through the SmartPhone Applications and not limited to tablets, websites or mobile phones. ‘By operating and accessing the Services offered by our software and Services, including the medical records, appointments records, lab results and any other data that is made available via the Service, you hereby agreed to be bound by the terms of this Agreement. These terms can be updated from time to time without notice. Your continued use of the Service constitutes your acceptance of the updated terms. Should you not agree to these terms or any other updated terms, please do not use the Service.

OUR PRODUCTS AND SERVICES ARE NOT FOR URGENT OR EMERGENCY SITUATIONS. IN SUCH EVENTS, PLEASE CONTACT 999 OR YOUR NEAREST HOSPITAL. The medical records made available via our Service are not meant to be used in any emergency or urgent situations. These medical records made available via the Service provide conveniences and may not always be completely accurate representations of the most current such records.

AISB is not engaged in the practice of medicine and the Service shall not constitute any kind of provider-patient relationship. We are not directly or indirectly practice medicine or dispense medical services as part of the Service. The Service is not designed for, or intended to be used in, high risk activities in which the failure of or defects in the Service might result in death, personal injury, physical or environmental damage or significant business injury, and you agree to avoid such use. We do not review patient data made available on the Service and is not responsible for the content of these materials.

YOU ACKNOWLEDGE THAT YOUR USE OF THIS SERVICE IS AT YOUR SOLE RISK, AND THAT YOU ASSUME FULL RESPONSIBILITY FOR ALL RISK ASSOCIATED THEREWITH. YOU AGREE TO BE RESPONSIBLE FOR MAINTAINING ADEQUATE PROCEDURES TO SATISFY YOUR REQUIREMENTS FOR SECURITY OF AND ACCURACY OF YOUR PERSONAL DATA. The Service is only offered in Malaysia and is regulated under the legal framework of Malaysia.

DEFINITIONS

For the purposes of this Agreement, the following terms shall have the meanings set out below:

  1. For the purpose of this Terms of Use, the following terms shall have the meanings set forth below, unless the context requires otherwise:
  2. “AISB” / “we” / “us” / “our” – Refers to Ascension Innovation Sdn. Bhd., the owner and operator of the aiENGAGE platform and its associated modules, including healthcare engagement services and the MyCircle Transporter feature.
  3. “aiENGAGE” – Refers to the mobile application operated by AISB, which provides access to two distinct modules:
    (a) for healthcare professionals and locum doctors, aiENGAGE facilitates digital scheduling, clinical task management, and connection to healthcare facilities using the aiCMS ecosystem; and
    (b) for Transporters under the MyCircle module, aiENGAGE enables registration, trip management, route tracking, digital pickup/drop-off validation, and coordination with parents and schools.
  4. “Service” – Refers to the full functionality and services provided via the aiENGAGE platform, including clinical engagement tools, assignment and health data access, transporter coordination, and any integrated systems or updates provided by AISB.
  5. “User” / “you” / “your” – Refers to any individual accessing or using the Service, including healthcare providers, locum practitioners, patients, parents, Transporters, or any individuals who had signed in to the Service.
  6. “Healthcare Provider” – Refers to any clinic, medical facility, or licensed practitioner registered with the platform who uses the Service to deliver healthcare or consultation services.
  7. “Locum” – Refers to a temporary healthcare professional, including doctors or medical officers, who use aiENGAGE to manage assignments, receive clinic invitations, and operate under the aiCMS framework.
  8. “MyCircle” – Refers to the parent-child-school transport coordination module linked to aiCARE, enabling secure management of student pickups and drop-offs, with real-time monitoring and school visibility through verified Transporters.
  9. “Transporter/Ride Guardian” – Refers to a feature within the MyCircle module that enables parents to assign, track, and manage authorized school pickups and drop-offs. The Ride Guardian feature supports route scheduling, pickup/drop-off tracking, digital handover verification, and notification delivery, providing both parents and schools with increased oversight and security.
  10. “Transporter” – Refers to a parent, guardian, or trusted community member who is authorized and verified under the MyCircle system to transport students on behalf of other parents. Transporters use the aiENGAGE app to manage assigned trips, provide pickup/drop-off confirmations, and comply with platform safety protocols.
  11. “Authorized Pickup Person” – Refers to any individual designated by a parent or guardian through the platform to collect a child from school, which may include a Transporter, family member, or approved caregiver.
  12. “Check-In QR Code” – Refers to a digital code displayed at school or clinic premises, used by parents, visitors, or Transporters to register entry and validate access through aiCARE or aiENGAGE.
  13. “Personal Data” – Refers to any information collected through the use of the Service that can identify an individual, including but not limited to name, contact details, identification number, health records, child transport schedules, and GPS-based location logs.
  14. “Platform” – Collectively refers to the aiENGAGE mobile application and all its related features, modules, and services operated by AISB.

REGISTRATION

  1. You are to provide a username and password (collectively “Sign In Details”) during the registration via our Service. Registration details such as your name as per NRIC, NRIC number, address, gender, nickname, phone number and other relevant information (“Registration Details”) may be required during the registration process. You will keep your Sign In Details confidential and shall not disclose them to any parties other than yourself. Should the confidentiality of your Sign In Details be compromised, you are to contact us via email.
  2. You must be of legal age (above 18 years) or otherwise permitted under the law of Malaysia to use and access the Service. If you are not above 18 years old, or otherwise permitted under the law of Malaysia, you are to obtain the consent of your parents or legal guardians to use the Service as a minor. As the parent or guardian of the said minor, with the registration of the minor, you are deemed to agree with and consent to the terms of use for the Service, as declared in this agreement.
  3. For Independent Healthcare Provider, you are required to register yourselves via the Service as a user. You are to prove your credentials by submitting a digital copy of your documents via the Service. Upon approval, you are eligible to be invited by the “Healthcare Providers” to practice under their facility.
  4. If you register as a Transporter under the MyCircle module, you agree to provide valid identification, driving credentials, and any additional documentation requested during the verification process. You understand that your access to pickup and transportation features may be restricted or suspended if your information is inaccurate, incomplete, or expired.
  5. We reserve the right to suspend or revoke access to the Transporter (also known as “Ride Guardian” module thereafter) features at any time if we has reason to believe that the User has (i) provided false or misleading information, (ii) violated safety protocols, (iii) received repeated complaints, or (iv) is under investigation by authorities. Such action may be taken with or without notice to protect user safety and platform integrity.
  6. If you do not agree with the above terms, please do not use the Service.

THE SERVICE

  1. The Service allows you to search for nearby clinics, make online appointments, e-chat with our independent clinics, doctors, healthcare providers or medical practitioners (collectively “Healthcare Providers”).
  2. The Service also allows you to make/download appointment details, medical records, lab and radiology reports, and other relevant clinical information clerked by the independent Healthcare Providers.
  3. The Service may also include coordination and mobility features under the MyCircle “Ride Guardian” module. These features allow Users to register as verified transporters (“Ride Guardians”) to receive and manage scheduled pickup and drop-off requests involving children or dependents, as authorized by parents or legal guardians. The Service acts as a digital platform to facilitate scheduling, confirmation, route tracking, and digital handover verification. We are not a provider of transportation services and is not responsible for the conduct, punctuality, or delivery of any transport services rendered by Users on this platform.
  4. You acknowledge that we do not employ, contract, manage or otherwise control Transporters. All transportation arrangements made through the Service are voluntary agreements between all Users, and Transporters act as independent parties. No employment, agency, or partnership relationship is created between us and Transporters.
  5. The Independent Healthcare Provider listed in the Service may use the Service to record necessary information during consultations about you, including: your personal particulars, medical history, symptoms, diagnosis and treatment given, test and lab results, appointment and billing details, prescriptions and other drug purchases and other information for the purpose of providing medical service to you.
  6. We will not warrant and had no control of the communication and the content of what the Healthcare Providers is to furnish via our Service at any juncture of time, and as such we will not be liable of any consequences of the content the independent Healthcare Providers had provide.
  7. We will put in a reasonable amount of effort to ensure that the independent Healthcare Providers who participates or intends to participate in the Service carry the necessary licenses and qualifications required by the law where the Service is being offered to provide healthcare services.
  8. We reserve every right to remove from our Service Healthcare Providers who have acted unprofessionally, or do not / longer carry the necessary licenses to practice. We are not responsible for any damages or losses arising from your visits, connections, and communications with the Healthcare Providers. We are not directly or indirectly engaged in the Service to provide clinical or healthcare practice to you.
  9. We reserved all rights to terminate your account at any time that we deem fit.

YOUR RESPONSIBILITIES AND OBLIGATIONS

By being a registered user of the Service, it is your responsibility and is to oblige with the following terms:-

  1. Respect and protect the confidentiality of your Sign In Details and contents such as financial data, visitation history, medical records, appointments, demographics data and all other contents that you accessed in the Service using any devices, be it a smart phone, tablets or computers.
  2. The Service is offered to you free of charge. Any fees that are charged to you by the independent Healthcare Providers will be entirely you responsibility and it’s your entire responsibility to manage and settle any disputes arises between you and the independent Healthcare Providers.
  3. You are to submit up-to-date and accurate information about yourself as required by these terms of use.
  4. You understand that information accessed from the Service contained sensitive and confidential patient care records, medical records, financial data, appointment records, personal data, usernames, and password and shall not reveal, pass or disclose these information to any other parties. You can only access the Service with your authorized access and you acknowledge that it’s your sole responsibility to assume all risk arises from your use and access to the Service and also any information transmitted between you and the Service is solely at your own risk too.
  5. You shall not transmit or post any materials that is knowingly false and/or defamatory, inaccurate, abusive, vulgar, hateful, harassing, obscene, profane, sexually oriented, threatening, invasive of a person’s privacy, or otherwise in violation of any law. Promotional, copyrighted materials that is not owned by you and materials that contained computer virus, malware, phish that is designed to destroy or cripple any functionality of a computer software or hardware is also not allowed to be post or transmit through the Service.
  6. You acknowledge that the rating system in the Service is merely for reference and does not guarantee nor serve as a guide/benchmark the expectations of the quality of the services the Healthcare Providers provide / will provide. You acknowledged that you are fully responsible for the ratings that you post and we are not liable for any consequences arising from it. We are entitled to change or delete your ratings where deemed fit.
  7. Any attempts to gain unsolicited access to the Service, user accounts, networks via hacking, mining of password or any other means is strictly prohibited and will be dealt with severely. Activities which will disable, impair or disrupt the Service, rating system, our network and computer system is strictly prohibited.
  8. You acknowledge that the Service is monitored by us and we reserve all the rights to investigate anyone who had violated the terms stated in this agreement, that without any limitation we will terminate your account or report to the relevant enforcement agencies when deemed fit.
  9. If you are a Transporter, you are fully responsible for fulfilling any agreed pickup and drop-off schedules, ensuring the safety of passengers in your care, and complying with all applicable road safety laws. You agree not to impersonate any other transporter or misuse the pickup authorization system. You acknowledge that all activities logged under your account are your sole responsibility.
  10. Transporters may be subject to feedback or ratings from parents or guardians using the Service. You agree to receive such feedback and acknowledge that we may use this input to adjust visibility, eligibility, or access to service features. Abusive or false reviews may be investigated, but we are not obligated to moderate or remove feedback unless required by law.
  11. Transporters are expected to conduct themselves in a manner that ensures the physical and emotional safety of minors in their care. Any misconduct, neglect, or inappropriate behavior may result in immediate suspension and referral to relevant authorities. We may cooperate with investigations by disclosing relevant logs, identity data, and communication records where legally required.
  12. You acknowledge that we may add, discontinued, suspend, replace, and upgrade features in the Service from time to time. The updates of the Service is bound by this agreement. You agree that we are not liable to you or anyone else for the results of these changes of features in the Service.

YOUR PERSONAL DATA

  1. Your personal data is being collect and processed in accordance to our Privacy Policy.
  2. If you use the “Ride Guardian” feature, we may also collect and process your vehicle registration, driver’s license information, transport schedules, and your real-time location during active service hours. This data is used strictly for handover coordination, tracking, and parent notifications, and is governed by our Privacy Policy.

DISCLAIMER

  1. You are to release us from any liabilities and claims for using the Service.
  2. We do not warrant the quality of the healthcare services, consultations offered by the Healthcare Providers. The Healthcare Providers that you had engaged or entered into a contract via the Service may pay us a fee for the services and products that we are offering to them, we do not endorse or recommend any independent Healthcare Providers listed through our Service.
  3. We are not responsible under any liability or indemnity for the information created, stored transmitted or made available through the Service. WE MAKES NO WARRANTY AS TO THE COMPLETENESS, ACCURACY, CURRENCY, OR RELIABILITY OF ANY INFORMATION OR CONTENT PROVIDED BY or THROUGH THE SERVICE TO THE FULL EXTENT OF THE LAW.
  4. We do not make guarantee that the Service can be access (through any network) by you at the location where you are and the time when you are to attempt to connect to the Service.
  5. You understand that the Service may have links to external websites which are not maintained by us, ie. links to our partners. You agree that we are not responsible, do not endorse and not responsible for the contents posted and published by the operators of these websites.
  6. Except that it was clearly set forth or herein, we do not warrant the Service and its related products that it is operated bug-free, error-free, free of computer virus, fully secured or any other harmful causes.
  7. We make no warranties about any suggestions, recommendations, inputs, advises, ratings or endorsement for the services and products offered through the Service.
  8. We are not a transportation provider and make no warranties regarding the availability, quality, or safety of transport services arranged through the “Ride Guardian” feature. All arrangements between guardians, parents and transporters are made voluntarily and independently. We shall not be liable for any losses, damages, or incidents resulting from transport services conducted through the platform.
  9. We shall not mediate, arbitrate, or be held liable for disputes between Transporters and parents, including but not limited to service punctuality, conduct, cancellations, or payment arrangements (if applicable). Users of the Service are encouraged to resolve issues directly and respectfully. We may provide access to records or logs for reference purposes but is not a party to such disputes.

INDEMINITY

  1. As a registered user of the Service, you hereby agreed to indemnify us against all claim of losses, damages, be it in monetary or any kind of forms resulting on your access/use of the Service and all its related products; not limited to the content submitted by you against all laws, rules or any regulations. You will also provide indemnity to us against all claims of intellectual property, defamation, infringement of copyright, breach of confidence on all content or information that you had submitted to us or via the Service. This includes any claims, liabilities, or damages arising from your use of the Service, including MyCircle’s  “Ride Guardian” feature, including but not limited to transportation incidents, disputes between all parties, or unauthorized use of the pickup handover system.

INTELLECTUAL PROPERTY

  1. The materials and the content (of any form including designs, graphics, photographs, logos, text, videos, audios, software, tradenames, trademarks, product names, pricing or any other electronic or mechanical format) stored, transmitted, distributed, reproduced, hosted and presented in the Service and the related products such as the Mobile Applications (“Material”) are owned and licensed by aiENGAGE. We permit the use of the Service to you for personal, non-profit and non-commercial use only without any form of transfer of ownership or intellectual property to you. The Materials are protected by copyright and other intellectual property laws of Malaysia and other countries.
  2. Unless otherwise being specified in this Agreement, you shall not copy, stored, duplicate, reproduce, reverse engineer, distribute, sell, modify, download, transfer the Material or commercially deal with the said Materials without informing aiENGAGE.
