TERMS OF USE

The following terms and conditions served as the agreement between you and Ascension Innovation Sdn Bhd (“AISB”, “us”, “we”, “our”), which our products, systems and services (“Service”) are made through the SmartPhone Applications and not limited to tablets, websites or mobile phones. By operating and accessing the Services offered by our software and Services, including the medical records, appointments records, lab results and any other data that is made available via the Service, you hereby agreed to be bound by the terms of this Agreement.

These terms can be updated from time to time without notice. Your continued use of the Service constitutes your acceptance of the updated terms. Should you do not agree to these terms or any other updated terms, please do not use the Service.

PLEASE READ THESE TERMS OF USE CAREFULLY

A. General

  1. The use of this Service is subject to the terms set forth herein. By accessing or using any part of the Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms of Use. This Service is intended for users within Malaysia and is governed under the legal and regulatory framework of Malaysia.
  2. AISB makes no representations or warranties regarding the availability, performance, or suitability of the Service for any high-risk or mission-critical activity. You agree that your use of the Service is entirely at your own risk, and you are solely responsible for implementing safeguards to ensure the accuracy and security of your personal data.

B. Healthcare (aiCMS Ecosystem)

THIS SERVICE IS NOT INTENDED FOR EMERGENCY USE.

  1. If you or someone else is experiencing a medical emergency, call 999 (Malaysia Emergency Response Services, MERS) or seek care at the nearest hospital.
  2. The healthcare-related features within this Service, including access to personal health records, appointment scheduling, or teleconsultation tools, are provided solely for convenience and general informational purposes. These services do not constitute medical advice, diagnosis, or treatment. Medical records made available via the Service may not always reflect the most current or complete information. AISB does not directly or indirectly engage in the practice of medicine, nor does it form any doctor-patient relationship by providing this Service.
  3. AISB does not review or verify any medical information uploaded by healthcare professionals or users and shall not be held responsible for the accuracy, reliability, or completeness of any medical or health data provided through the platform.

C. MyCircle (Safety, Pickups & Ride Coordination)

  1. The MyCircle component of the Service includes features such as pickup scheduling, transporter coordination, child check-in/out tracking, and carpooling arrangements. These features are provided as digital tools to assist parents, schools, and transporters in coordinating daily school-related mobility routines.
  2. AISB does not employ, verify, or manage any transporters or individuals acting as pickup guardians. All transport-related arrangements and assignments are solely the responsibility of the parents or guardians who initiate or accept such tasks within the platform. AISB makes no warranties regarding the reliability, conduct, or availability of any transporter using the Service.
  3. Additionally, features such as notifications, live tracking, and digital security passes depend on external factors including the transporter’s device usage (e.g., whether they activate the app), internet connectivity, and GPS accuracy. As such, AISB cannot guarantee the accuracy, timeliness, or availability of such features at all times.

DEFINITIONS

For the purposes of this Agreement, the following terms shall have the meanings set out below:

  1. “AISB” / “we” / “us” / “our” – Refers to Ascension Innovation Sdn. Bhd., the developer and operator of the aiCARE platform and all related modules, including MyCircle, aiCMS, and aiEngage.
  2. “Service” – Refers to the digital services and tools made available through aiCARE, including but not limited to health record access, appointment scheduling, communication with clinics, MyCircle coordination tools, school mobility management, visitor registration, and integrations with partner applications such as aiEngage.
  3. “User” / “you” / “your” – Refers to any individual or entity accessing or using the Service, whether as a patient, parent, visitor, Ride Guardian (transporter), healthcare provider, locum, or school administrator.
  4. “Healthcare Provider” – Refers to independent licensed clinics, medical facilities, or healthcare professionals using the aiCMS platform to deliver healthcare services. These providers operate independently and are not employees of AISB.
  5. “MyCircle” – Refers to the school mobility, child handover, and pickup coordination module within aiCARE, enabling parents to assign authorized pickup persons, receive real-time pickup/drop-off notifications, generate digital passes, and coordinate securely with schools and Ride Guardians.
  6. “Ride Guardian” / “Transporter” – Refers to a parent, guardian, or trusted community member who is authorized and verified through MyCircle to perform school pickup and drop-off services on behalf of other parents.
  7. “aiEngage” – Refers to the companion mobile application used by:
    (a) Ride Guardians to receive assignments, perform child pickups/drop-offs, track routes, and complete handover records under the MyCircle platform; and
    (b) Healthcare professionals and locum doctors to manage their work engagements, schedules, and service locations within the aiCMS digital healthcare service ecosystem.
  8. “Institution” / “School” – Refers to any school, learning center, daycare, or educational institution that partners with the Service to manage check-in processes, student pickups, and gate access verification through MyCircle.
  9. “Authorized Pickup Person” – Refers to any individual nominated by a parent within the platform to collect a child from school, including Ride Guardians, family members, or known contacts, whose information is recorded for digital validation.
  10. “Check-In QR Code” – Refers to the static or dynamic QR code displayed at a school, clinic, or institution, which parents or visitors scan for entry registration, identity validation, and institutional access purposes.
  11. “Login Details” – Refers to the unique credentials (such as username, email, password, or biometric verification) used to access the Service.
  12. “Personal Data” – Refers to any personally identifiable information collected during registration or use of the Service, as defined in our Privacy Policy. This may include names, contact information, dependent/student profiles, vehicle identification, medical data, check-in logs, and real-time location data where permitted.

REGISTRATION

  1. You are to provide a username and password (collectively “Login Details”) during registration via our Service. Registration details such as your name as per Malaysian National Registration Identity Card (NRIC)/passport, NRIC/passport number, email, address, gender, nickname, phone number, and other relevant information (“Registration Details”) may be required during the registration process. You will keep your Login Details confidential and shall not disclose them to any parties other than yourself. Should the confidentiality of your Login Details be compromised, you are to contact us via email.
  2. You must be of legal age (above 18 years) or otherwise permitted under the laws of Malaysia to use and access the Service. If you are not above 18 years old, or otherwise permitted under Malaysian law, you are to obtain consent from your parent or legal guardian to use the Service. As the parent or guardian of the said minor, by completing the registration process on behalf of the minor, you are deemed to agree to and accept these Terms of Use on behalf of the minor.
  3. For Independent Healthcare Provider, you are required to register yourselves via the Service as a user. You are to prove your credentials by submitting a digital copy of your documents via the Service. Upon approval, you are eligible to be invited by the “Healthcare Providers” to practice under their facility.
  4. If you are a parent or legal guardian using the Service to register children under your care for participation in MyCircle features (e.g., school pick-up and drop-off coordination, transport assignment, or digital guardian pass), you are responsible for ensuring the accuracy of all submitted details, including relationships, guardian assignments, and designated schools.
  5. If you do not agree with the above terms, please do not use the Service.

THE SERVICE

AISB reserves the right to suspend, restrict, or terminate your access to the Service, in whole or in part, at any time and without prior notice, in the event of violations of these Terms of Use, applicable laws, or any behavior deemed abusive, fraudulent, or harmful to the integrity of the platform. The Service comprises multiple functional components, including healthcare coordination and child and dependent mobility features, and you are responsible for understanding and complying with the conditions relevant to each part of the Service as described below.

A. Healthcare Related

  1. The Service allows you to search for nearby clinics, make online appointments, e-chat with our independent clinics, doctors, healthcare providers or medical practitioners (collectively “Healthcare Providers”).
  2. The Service also allows you to make/download appointment details, medical records, lab and radiology reports, and other relevant clinical information clerked by the independent Healthcare Providers.
  3. The Independent Healthcare Provider listed in the Service may use the Service to record necessary information during consultations about you, including: your personal particulars, medical history, symptoms, diagnosis and treatment given, test and lab results, appointment and billing details, prescriptions and other drug purchases and other information for the purpose of providing medical service to you. 
  4. We will not warrant and had no control of the communication and the content of what the Healthcare Providers is to furnish via our Service at any juncture of time, and as such we will not be liable of any consequences of the content the independent Healthcare Providers had provide.
  5. We will put in reasonable effort to ensure that the independent Healthcare Providers who participates or intends to participate in the Service carry the necessary licenses and qualifications required by the law where the Service is being offered to provide healthcare services.
  6. We reserve every right to remove from our Service – Healthcare Providers who have acted unprofessionally, or do not / longer carry the necessary licenses to practice. We are not responsible for any damages or losses arising from your visits, connections, and communications with the Healthcare Providers. We are not directly or indirectly engaged in the Service to provide clinical or healthcare practice to you.

B. MyCircle Related

  1. The Service also includes coordination features for school mobility and child handovers (“MyCircle”), which allow Users to manage authorized pickup persons (e.g., transporters, guardians), generate digital pickup passes, receive real-time handover notifications, and enable gate validation features in collaboration with participating schools or institutions.
  2. The Service does not provide or operate any transportation services. We act solely as a digital facilitator to enable coordination, verification, and record-keeping between parents, authorized persons, and schools.
  3. The Service may include visitor registration and parent check-in features designed to support secure identity verification at participating institutions. While the system provides a digital record of check-ins, we do not guarantee physical access, identity matching accuracy, or security enforcement, which remain the responsibility of the hosting institution. Use of the system does not constitute permission to enter any premises.
  4. Where enabled, the Service may provide real-time alerts or status updates (e.g., pickup confirmations, drop-off logs, arrival notifications). We make reasonable efforts to deliver these alerts promptly and accurately; however, the effectiveness of such features is also dependent on third-party factors beyond our control — including, but not limited to, whether the assigned transporter has properly activated and is actively using the companion app (aiEngage), the device’s GPS availability, and prevailing mobile network conditions. We do not guarantee the timeliness, reliability, or delivery of such alerts and expressly disclaims any liability arising from delayed, missing, or inaccurate updates. Use of this system does not replace parental responsibility, physical supervision, or direct communication with the assigned guardian.

YOUR RESPONSIBILITIES AND OBLIGATIONS

By being a registered user of the Service, it is your responsibility to be obliged to the following terms:

A. General Responsibilities

  1. Respect and protect the confidentiality of your Login Details and contents such as financial data, visitation history, medical records, appointments, demographics data and all other contents that you accessed in the Service using any devices, be it a smart phone, tablets or computers.
  2. You are to submit up-to-date and accurate information about yourself as required by these terms of use.
  3. You understand that information accessed from the Service contained sensitive and confidential patient care records, medical records, financial data, appointment records, personal data, usernames, and password and shall not reveal, pass or disclose this information to any other parties. You can only access the Service with your authorized access and you acknowledge that it’s your sole responsibility to assume all risk arises from your use and access to the Service and also any information transmitted between you and the Service is solely at your own risk too.
  4. You shall not transmit or post any materials that is knowingly false and/or defamatory, inaccurate, abusive, vulgar, hateful, harassing, obscene, profane, sexually oriented, threatening, invasive of a person’s privacy, or otherwise in violation of any law. Promotional, copyrighted materials that is not owned by you and materials that contained computer virus, malware, phish that is designed to destroy or cripple any functionality of a computer software or hardware is also not allowed to be post or transmit through the Service.
  5. You acknowledge that the rating system in the Service is merely for reference and does not guarantee nor serve as a guide/benchmark the expectations of the quality of the services the Healthcare Providers provide / will provide. You acknowledged that you are fully responsible for the ratings that you post and we are not liable for any consequences arising from it. We are entitled to change or delete your ratings, where deemed fit.
  6. Any attempts to gain unsolicited access to the Service, user accounts, networks via hacking, mining of password or any other means are strictly prohibited and will be dealt with severely. Activities which will disable, impair or disrupt the Service, rating system, our network and computer system is strictly prohibited.
    • You acknowledge that the Service is monitored by us and we reserve all the rights to investigate anyone who had violated the terms stated in this agreement, that without any limitation we will terminate your account or report to the relevant enforcement agencies when deemed fit.
    • You acknowledge that we may add, discontinued, suspend, replace, and upgrade features in the Service from time to time. The updates of the Service are bound by this agreement. You agree that we are not liable to you or anyone else for the results of these changes of features in the Service.

B. Healthcare-Related Responsibilities

  1. The Service is offered to you free of charge. Any fees that are charged to you by the independent Healthcare Providers will be entirely your responsibility and it is your responsibility to manage and settle any disputes arising between you and the independent Healthcare Providers.

C. MyCircle-Related Responsibilities

  1. If you use the Service to assign transporters or guardians to pick up a child or dependent, you are solely responsible for verifying their identity and granting access through the platform. We will not be held liable for any unauthorized access, impersonation, or failure to perform caused by your designation or failure to update such records.
  2. Institutions retain full discretion to approve or reject entry requests submitted through the platform. We are not responsible for any denial of access or administrative decisions made by school personnel, even if a parent or visitor has successfully scanned the entry code or submitted their details.
  3. You are solely responsible for assigning and verifying individuals authorized to pick up your child, whether as a family member, carpool contact, or transporter. We do not verify personal relationships, assess trustworthiness, or assume responsibility for the accuracy of this information. All actions taken by authorized parties under your account are considered to be made with your consent.

YOUR PERSONAL DATA

  1. Your personal data is collected, processed, and protected in accordance with our Privacy Policy. By using the Service, you consent to the collection of personal and sensitive information necessary for the proper functioning of the platform.
  2. When using features under the MyCircle component—such as school mobility coordination, digital pickup passes, or handover notifications—you may be required to provide specific data including, but not limited to, your child’s full name, photograph, school name, class designation, pickup or drop-off schedule, vehicle identification details (e.g., license plate number), and names or contact information of individuals authorized to pick up the child. This information is used solely for the purpose of enabling secure identification, facilitating coordination with school personnel, and ensuring children are released only to verified parties.
  3. With your explicit permission, the system may access and utilize real-time location data during active pickup or drop-off periods to provide tracking, alerts, and verification services. Location tracking is limited in scope and is not active outside of these operational windows.

DISCLAIMER

  1. You agree to release us (Ascension Innovation Sdn Bhd, “AISB”) from any liability, damages, or claims arising from your use of the Service. By using this Service, you acknowledge that all risks associated with your access and interactions—including those related to healthcare, transportation coordination, and third-party features—are assumed by you.
  2. AISB does not warrant or guarantee the quality, outcome, or accuracy of any healthcare services, clinical consultations, or recommendations provided by the independent Healthcare Providers listed on the platform. These Healthcare Providers operate independently and may engage the Service as a means of communication or records management. While some Healthcare Providers may pay fees to use our services, AISB does not endorse, recommend, or assume responsibility for any medical advice or procedures they provide. You acknowledge that AISB is not a medical provider and does not establish a provider-patient relationship.
  3. Regarding school mobility and MyCircle features, you understand that AISB does not provide, operate, or control any transportation or childcare services. We are solely a digital facilitator. We do not verify or supervise any transporter, Ride Guardian, carpool driver, or user-authorized individual listed or assigned through the platform. All agreements, including fee arrangements, timing, conduct, or disputes between transporters and parents or institutions, must be resolved directly between those parties. AISB disclaims all liability actions, delays, failures, or misconduct by these third-party individuals (e.g., transporters, security guards, etc.) and any events (including but not limited to school lockdowns, internet failures, public emergencies).
  4. We are not liable for the completeness, accuracy, or timeliness of any information created, stored, or transmitted via the Service. The content, medical data, transportation details, or check-in records available through the platform may not always be up to date or reflect real-time conditions. To the full extent permitted by law, AISB disclaims all warranties regarding this information.
  5. You understand that access to the Service may be affected by your network provider, device configuration, or location. We do not guarantee uninterrupted or universal access to our Service, nor can we ensure that the Service will be free of bugs, technical errors, malware, or other harmful components. You are responsible for ensuring your device and data connection are secure.
  6. Where the Service includes third-party links (e.g., external partner sites or payment processors), AISB does not control or maintain these external services. We are not responsible for the content, reliability, or data practices of any third-party platforms.
  7. Finally, any opinions, reviews, ratings, or suggestions presented within the platform—whether submitted by other users or displayed by the system—do not constitute a professional recommendation or endorsement by AISB. All users are advised to make independent decisions based on their own judgment and diligence.
  8. Additional Disclaimers: MyCircle Coordination, Payment & Data Sharing
    • Payment Dispute Disclaimer: All payments made through the platform are collected on behalf of participating transporters or service providers. We may collect a platform administration fee and may deduct applicable government taxes (e.g., SST) where required by law. We act solely as a digital facilitator and does not participate in nor guarantee the fulfilment of any service arrangement. Any disputes regarding service delivery, cancellations, or refund requests must be resolved directly between the parent and the transporter.
    • Automated Decision-Making Disclosure: Certain features of the MyCircle platform, such as pickup validation, digital pass generation, and driver visibility, are partially automated based on parent input, route data, and verification history. Users acknowledge that automated decisions are based on pre-set logic and may not involve manual review unless required.
    • Data Access Sharing with Schools: For safety and administrative purposes, relevant child check-in/out logs, authorized pickup information, and real-time status may be shared with school administrators. This sharing is limited to users affiliated with the school and is governed by the platform’s privacy policy.
    • Revocation of Access Rights: We, together with participating schools reserve the right to restrict or revoke platform access (including transporter functions or parent check-in permissions) due to safety concerns, repeated violations, or misuse of the system.

INTELLECTUAL PROPERTY

  1. The materials and the content (of any form including designs, graphics, photographs, logos, text, videos, audios, software, tradenames, trademarks, product names, pricing or any other electronic or mechanical format) stored, transmitted, distributed, reproduced, hosted and presented in the Service and the related products such as the Mobile Applications (“Material”) are owned and licensed by AISB. We permit the use of the Service to you for personal, non-profit and non-commercial use only without any form of transfer of ownership or intellectual property to you.
  2. Unless otherwise being specified in this Agreement, you shall not copy, store, duplicate, reproduce, reverse engineer, distribute, sell, modify, download, transfer the Material or commercially deal with the said Materials without informing and obtaining prior written consent from us.

INDEMINITY

  1. As a registered user of the Service, you agree to fully indemnify and hold harmless AISB, its affiliates, officers, agents, and employees from and against any and all claims, liabilities, losses, damages (monetary or otherwise), expenses, or legal fees arising out of or in connection with your use or misuse of the Service and any of its related features. This includes but is not limited to content or data you submit through the Service, any violation of applicable laws, regulations, or third-party rights (including intellectual property rights, defamation laws, or confidentiality obligations).
  2. You further agree to indemnify and hold harmless AISB from any and all claims, disputes, losses, or liabilities resulting from your use of MyCircle-related features — including but not limited to the assignment of transporters or guardians, misidentification of pickup persons, unauthorized access arising from your failure to update records, or any service-related issues between you and transporters (e.g., delays, cancellations, or disputes over service terms). AISB acts solely as a digital facilitator and shall not be held liable for any outcomes resulting from arrangements made independently by users.
